BECOMING A BPI WORLDWIDE, INC. INDEPENDENT BUSINESS OWNER

An Independent Business Owner is one who has:

(a) executed a BPI Worldwide, Inc. Application and Agreement Form with accompanying Notice of Repurchase Rights, Terms and Conditions and Policy and Procedures accepted and approved by BPI Worldwide, Inc.;
(b) accepted these Policies and Procedures by clicking the “I accept” button at the end hereof; and,
(c) read and agreed to comply with the Terms and Conditions as set forth in the “Terms and Conditions” section and agreed not to make any of the prohibited representations, by clicking the “I agree” button at the end.

BPI Worldwide, Inc. reserves the exclusive right to accept or reject anyone as an IBO. If an individual is rejected by BPI Worldwide, Inc., notification of such rejection will be given within thirty (30) days from the date the company receives the IBO Application and Agreement Form.

For a corporation or partnership, the following additional requirements must be met:
a. The IBO Agreement must include the name of a principal person and be signed by an authorized officer of the corporation or partnership.
b. A corporation or partnership must provide BPI Worldwide, Inc. with a Federal Employer’s identification number.

IBOs are independent business owners of BPI Worldwide and are not to be considered purchasers of a franchise or distributorship. The Agreement between the Company and the IBO does not create an employer/employee relationship, agency, partnership or joint venture between the Company and the IBO. Each IBO holds BPI Worldwide, Inc. harmless from any and all claims, damages, or liabilities arising out of the IBOs business practices. No IBO has authority to bind BPI Worldwide, Inc. to any obligations. Each IBO is encouraged to set his or her own methods of sale so long as he or she complies with these Policies and Procedures, Compensation Plan, Terms and Conditions and the IBO Application and Agreement Form of BPI Worldwide, Inc.

IBO SPONSORING, RESPONSIBILITIES AND RESTRICTIONS

An applicant must be of legal age in his or her state of residence (usually eighteen years old.) An IBO may not sponsor another person out of his or her original line. No IBO may transfer from one sponsor to another. In the event that an IBO wishes to terminate his/her IBO status, the IBO may re-sponsor anywhere they choose after a 6 month period. In addition, once a person has been placed, the placement may not be changed under any circumstances.

Each IBO’s sales tracking ID numbers must be placed in his/her own sales team. All of the activity of an IBO must take place under its originally established sales tracking ID number. No IBO may recruit an IBO from another BPI Worldwide, Inc. sales team into their own sales team. Any such attempt will result in termination as an IBO.

If one spouse is already an IBO, the non-participating spouse may elect to become an IBO, but must be placed in his or her spouse’s sales team or must join the same IBO’s business as his or her spouse. The 25% and 50% Matching Bonuses always go to the sponsor of an IBO’s original position. Accordingly, an IBO’s original sponsor must sponsor any additional positions that IBO acquires, including the IBO’s spouse’s position. If an IBO has more than one position (personal or business), the Matching Bonuses always go to the IBO’s original-position sponsor. This prevents IBOs earning Matching Bonuses on themselves, which would destroy the integrity of the Matching Bonus.

If one IBO marries another IBO, neither is required to abandon his/her existing IBO business. Both husband and wife will be allowed to retain his or her existing business.

No service or product purchase is required to become an IBO. On the other hand, all commissions and bonuses paid under the Compensation Plan are based on actual retail sales to non-IBO distributors. Read the Compensation Plan carefully for the details. Any and all purchases are made at the sole discretion of the IBO. Each IBO should clearly explain in each presentation that no service or product purchase is required to market BPI Worldwide, Inc. services and products and that commissions and bonuses are based on actual retail sales to non-IBO distributors.

All new IBOs have the right to receive training and support from their sponsor. A sponsor shall provide information on how to obtain BPI Worldwide, Inc. approved literature. The cooperation and networking among IBOs leads to the total success of all concerned, even where IBOs are in different teams of sponsorship. Networking with other IBOs has many benefits, including the training and motivation of IBOs in a group environment.

All IBOs are encouraged to host meetings and trainings. You may not charge a guest for business or opportunity meetings. You may charge existing IBOs up to $10 to cover room charges. Accountability may be requested from BPI Worldwide, Inc. at any time to secure the integrity of the field meetings. No event can charge more than $10 per distributor to help cover expenses. Guests are always free. No other MLM, Direct Sales company, product and/or service of any kind can be promoted or sold on the premises at any BPI Worldwide, Inc. event. Nothing can be sold to any BPI Worldwide, Inc. distributor from another distributor unless it is sold by BPI Worldwide, Inc. No BPI Worldwide, Inc. distributor can earn directly or indirectly from another BPI Worldwide, Inc. distributor for any BPI Worldwide, Inc. product outside of the Compensation Plan.

Each IBO has the right to sponsor others, who must qualify as an IBO with BPI Worldwide, Inc. Each person has the ultimate right to choose his or her sponsor. If two IBOs should claim to be the sponsor of the same new IBO, BPI Worldwide, Inc. will regard the first application received by the corporate office as the controlling sponsor. Sponsoring carries the responsibility of encouraging your IBOs and helping them learn the business.

IBOs who sponsor other IBOs must fulfill the obligation of performing a bona fide training, supervisory, support and selling function in the sale of services and products to the ultimate consumer. An IBO must have ongoing contact, communication and management with his or her personal sponsor. Examples of such supervision may include, but are not limited to: newsletters, written correspondence, personal meetings, telephone contact, voice mail, electronic mail, training sessions, accompanying individuals to BPI Worldwide, Inc. training, and sharing information with those sponsored.

IBOs will not be allowed to participate in other companies, unless the IBO was already involved with the other company or companies prior to joining BPI Worldwide, Inc. IBOs who recruit BPI Worldwide, Inc. IBOs to other companies will be terminated. Each IBO further agrees and acknowledges that the identities of BPI Worldwide, Inc. IBOs are confidential and proprietary information of BPI Worldwide, Inc., and as such, are considered trade secrets of BPI Worldwide, Inc. Each IBO agrees that he or she will not use his or her knowledge of the identities of BPI Worldwide, Inc. IBOs in any manner whatsoever except for the purpose of promoting and marketing BPI Worldwide, Inc’s services and products.

Should an IBO cease to be an Independent Business Owner of BPI Worldwide, Inc., that IBO agrees that he or she will not call on or solicit, either for himself or herself or on behalf of any person, firm, corporation, association, or other entity, any BPI Worldwide, Inc. IBO, customer or vendor with whom the IBO became acquainted, or learned of, while participating in BPI Worldwide, Inc.’s sales program for the purpose of inducing or encouraging them to leave or sever their relationship with BPI Worldwide, Inc. Each IBO further agrees neither to induce nor attempt to induce any BPI Worldwide, Inc. IBO, customer or vendor to terminate his or her relationship with BPI Worldwide, Inc. Each IBO further agrees that he or she will not, in any manner at any time, hire or attempt to hire any employee or agent of BPI Worldwide, Inc. or otherwise encourage or attempt to encourage any employee or agent of BPI Worldwide, Inc. to leave his or her employment or terminate his or her relationship or employment with BPI Worldwide, Inc.

RENEWAL

The term of the company IBO agreement is renewed every year on the enrollment date by the IBO buying or selling 90 BV (Business Volume). An IBO is renewed annually on the anniversary date if 90 BV has been personally purchased or sold in accordance with the Compensation Plan. All non-renewals will become INACTIVE and deleted if this annual anniversary renewal is not met.

REQUIREMENT FOR RETAIL SALES TO CONSUMERS WHO ARE NON-IBO DISTRIBUTORS

The BPI Worldwide, Inc. Compensation Plan is built on sales to retail consumers who want and use its products, and who are not participants in the Plan. The Plan bases accumulation of Business Volume (BV), as well as payments of commissions and bonuses, on the sale of its products to non-IBO-Distributors. An IBO agrees by endorsing their checks that they have sold at least 70% of all products they have purchased. Read the Compensation Plan for these details. In addition, BPI Worldwide, Inc. maintains a compliance staff to randomly monitor meetings, conference calls, etc. to insure that IBOs meet these requirements and to insure that sales qualify for BV, commissions and bonuses.

Each IBO must maintain an online customer list indicating the name, address, telephone number and/or email address for each sale of product. Product is sold by and through the Company, so there is no need for IBOs to order product on their own account, except for in-person retailing, or for personal use. The knowing submission of any false information in a manage my customer account will subject the IBO to termination. Compliance staff will monitor customers and will contact customers to insure genuine retail sales. In the event a non-qualifying sale is discovered, the responsible IBO will be issued a written warning and the commissions and BV for that transaction will be forfeited (and, if already paid, must be repaid or subject to offset). In the event a second non-qualifying sale is discovered, commission and BV will be forfeited, plus the IBO will be placed on the compliance “Watch List” and all sales will be subject to increased scrutiny during a two-month probationary period. A third violation during, or within six months after, the probationary period will result in forfeiture of commissions and BV, and immediate termination.

In addition, each IBO shall maintain and furnish a statement listing his or her individual customers’ names, addresses, telephone numbers and email addresses in the Back Office under “Manage My Customers” and “Website Customers.” Each Manager, Area Manager and Regional Manager must make five qualifying sales. Each Vice President or above must make ten qualifying sales.

TERMINATION

An IBO who voluntarily terminates his or her IBO Agreement, or is a partner in a partnership that terminates its IBO Agreement, or is a shareholder in a Corporation that terminates its IBO Agreement, must wait at least six (6) months before becoming an IBO, becoming an employee of an IBO, or becoming an active participant with an IBO under a different sponsor. An IBO who voluntarily terminates loses all rights to any BV, commissions, bonuses, sales team genealogy, privileges and awards of an IBO. The Company, with or without cause, may elect to terminate IBOs. BPI Worldwide, Inc. has the right to take quick and decisive action in terminating the contract of any IBO who is found in violation of these Policies and Procedures, the IBO Application and Agreement Form, Terms and Conditions, rules governing the Compensation Plan, or any state, or federal laws, statutes, and/or regulations that pertain to the business of BPI Worldwide.

If an IBO wishes to appeal a disciplinary action, BPI Worldwide, Inc. must receive the appeal, in writing, within fifteen (15) days from the date of BPI Worldwide, Inc.’s disciplinary or termination notice, unless a greater time period is granted in writing by BPI Worldwide, Inc. If the appeal is not received within the appropriate time period, the termination will automatically be final. If an IBO files a timely appeal of termination, BPI Worldwide, Inc. will review the circumstances, consider any other appropriate action, and promptly notify the IBO of its decision. The decision of BPI Worldwide, Inc. will be final and subject to no further review. If the termination is not rescinded, the termination will be effective as of the date of the Company’s original termination notice.

TRANSFER OF BUSINESS

The IBO may transfer a sales ID number if the position is earning a minimum of $2,000 in Binary Commission, conditioned upon the approval of 3 upline sponsors and the approval of BPI Worldwide, Inc... In the event of an IBO’s death, the ownership of the tracking ID number may be conveyed to the IBO’s heirs, conditioned upon approval by BPI Worldwide, Inc, which may not be unreasonably withheld, provided that a certified copy of a Last Will and Testament or qualifying court probate order is delivered to the Company within 90 days of the date of death. A transfer fee of $100 shall apply. If the successor in interest desires to continue as an IBO, then that successor must agree to all of the terms and conditions, policies and procedures and requirements of the Compensation Plan; otherwise, the right to be an IBO will terminate immediately. For a successor to accept all terms and conditions, policies and procedures and requirements, the successor must first notify BPI Worldwide, Inc. of the succession and of his or her identity, provide necessary documentation if requested, and further, go online and affirmatively check the “I accept” and the “I agree” buttons of these Policies and Procedures.

Should a husband/wife IBO divorce, they must notify BPI Worldwide, Inc. in writing, with the notice signed and notarized by both parties, indicating who will thereafter manage the IBO’s business. Otherwise, the person that was originally identified as the Applicant with the Company will continue as the remaining IBO and the Company shall have no obligation to the other spouse. If the spouse who is continuing the business is not the original applicant, that spouse must go online and affirmatively check the “I accept” and the “I agree” buttons of these Policies and Procedures.

TERMS AND CONDITIONS

BPI Worldwide, Inc. believes that long term success can only be achieved by adherence to ethical and legal requirements. This applies to BPI Worldwide, Inc. and to each of its IBO Distributors. In this regard, the shareholders of BPI Worldwide, Inc. entered into an Agreed Order with the State of Texas.

Refer to Attachment No. 1 as additional regulations for all IBOs of BPI Worldwide, Inc, BPI Worldwide, Inc. has secured the rights to market the previously sold BioPerformance fuel product. All restrictions on said attachment will apply to BPI Worldwide, Inc. distributors as they are sharing this fuel product with customers.

ADDITIONAL REQUIREMENTS OF THE COMPANY

No unreasonable, misleading, or intentional misrepresentation of the Compensation Plan or about earnings may be made by IBOs. Income guarantees or representations of any kind are prohibited. IBOs will avoid any suggestion that specific income levels can be achieved, or that it is easy to attain high income levels. Each IBO’s success depends on his/her hard work and sales to consumers. Each IBO will always explain that each individual’s success depends solely upon the level of effort expended and their personal commitment to the BPI Worldwide, Inc. program.

IBOs occasionally are tempted to represent hypothetical income figures based upon the inherent power of network marketing as actual income projections. THIS IS PROHIBITED. See the “Terms and Conditions” above. Remember, new IBOs will be quickly disappointed if their results are not as rapid as a hypothetical model would suggest. BPI Worldwide, Inc. believes that a clear understanding of multilevel marketing should be sufficient to make people realize how attractive a business model it is, without resorting to income projections.

The IBO, as an independent contractor, is individually responsible for all verbal and written statements made regarding the services, products and sales program that are not expressly contained in writing in the current IBO Agreement. . Remember, each IBO accepts and agrees to abide by these terms. BPI Worldwide compliance staff will assist IBOs, but will also monitor IBOs for compliance. BPI Worldwide, Inc. has an affirmative obligation to identify problems or violations and to deal with them appropriately. BPI Worldwide, Inc. accepts and will diligently perform this responsibility.

Each IBO agrees to indemnify BPI Worldwide, Inc. and hold it harmless from any and all liability, including judgments, civil penalties, refunds, attorney’s fees, court costs, or lost business incurred by BPI Worldwide, Inc. as a result of the IBO’s unauthorized representations.

USE OF COMPANY NAME, LOGOS AND TRADEMARKS

The names BPI Worldwide, Inc. and other names that may be adopted by BPI Worldwide, Inc. are proprietary trade names and trademarks of the company. As such, those are of great value to BPI Worldwide, Inc. and are supplied to IBOs for the IBO’s use only in an expressly authorized manner.

BPI Worldwide, Inc. grants to IBOs only the use of its copyrights, designs, logos, trade names and trademarks without its prior written permission, on the Express Condition that that the IBO is in compliance with all of these Policies and Procedures, including, specifically, the foregoing Terms and Conditions, and upon the additional condition that the following disclaimer is posted on any website or printed material:

BPI Worldwide, Inc’s name, Compensation Plan, products, copyrighted materials, or trademarks may not be used with, or as a part of, any automatic calling devices or “boiler room” operations for any purpose.

IBOs must use their own trade names in all commercial promotional material and communications. No IBO may answer his or her telephone in any manner that would give callers a reason to believe that they have reached the corporate offices of BPI Worldwide, Inc... Specifically, IBOs will not answer the telephone by saying, “BPI Worldwide, Inc...”

ADVERTISING

IBOs agree not to advertise BPI Worldwide, Inc. services and products in any way other than with the advertising or promotional materials approved and provided to IBOs by BPI Worldwide, Inc. IBOs agree not to use any written, printed, recorded or any other material in advertising, promoting, or describing the services and products, or the BPI Worldwide, Inc. Compensation Plan, or any material that has not been copyrighted and supplied by BPI Worldwide, Inc., but pertains to BPI Worldwide, Inc., unless such material has been submitted to BPI Worldwide, Inc. and approved in writing by BPI Worldwide, Inc.before being disseminated, published or displayed. Nothing concerning BPI Worldwide, Inc. can be advertised or placed directly or indirectly on Ebay or any similar web-based auction.

All display ads, and institutional or trademark advertising copy must be submitted to BPI Worldwide, Inc. and approved in writing by BPI Worldwide, Inc. before publication.

No BPI Worldwide, Inc. IBO may contract for a display-type ad in any telephone directory without approval from BPI Worldwide, Inc. IBOs may not list their telephone numbers with the telephone company so as to lead directory assistance operators to refer callers searching for the BPI Worldwide, Inc. corporate office or any satellite office to their number.

MEDIA

All BPI Worldwide, Inc. materials, whether printed, on film, or produced by sound or digital recording, are not to be reproduced in whole or in part by IBOs or any other person except as authorized by BPI Worldwide, Inc.. Permission to reproduce any materials will be considered only in rare circumstances; therefore, an IBO should not anticipate that approval will be granted.

IBOs may not represent BPI Worldwide, Inc. on television, cable television, radio, newspaper, blog, or any other electronic or printed media without the prior, written consent of BPI Worldwide, Inc. All media inquires should be directed to the BPI Worldwide, Inc. company spokesperson. Prior editorial approval is required to release information on the Internet if the content of the home page pertains to the BPI Worldwide, Inc. business opportunity.

PRESENTATIONS

All public and/or private presentations must include the following disclaimer and must be taped if in a public location and ten or more people are present. Once again, IBOs must also review the Terms and Conditions, above, to which each agrees to abide. In this regard, IBOs shall not promise to pay any income or represent that BPI Worldwide, Inc. will pay any income or other monies that are not articulated in the BPI Worldwide, Inc.Compensation Plan.

THE COMPANY DISCLAIMER

This meeting is being held by an Independent Business Owner, an independent distributor of BPI Worldwide, Inc. products.

Limited Product Warranty and Disclaimer: BPI Worldwide, Inc. guarantees that BPI Worldwide, Inc. fuel product will not harm the internal components of any internal combustion gasoline or diesel engine. This is the only warranty for BPI Worldwide, Inc. fuel product. THERE ARE NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, SPECIFICALLY, THE IMPLIED WARRANTY OF MERCHANTABILITY AND THE IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE. The only remedy for this limited warranty is that, if it is demonstrated to BPI Worldwide, Inc. by valid testing that proper use of BPI Worldwide, Inc. fuel product actually damaged any internal component in an internal combustion gasoline or diesel engine, then BPI Worldwide, Inc. will repair or replace, at its option, the damaged parts of the engine at a repair facility of its choosing free of charge. BPI Worldwide, Inc. shall have no other obligation or liability with regard to any other claims of damage, whether direct or indirect, actual or consequential.

IMPORTANT NOTICE – BPI Worldwide, Inc. fuel product is a fuel additive designed for use in the gas tank and engine of your automobile. It contains petroleum distillates that can cause skin and eye irritation and is toxic, if consumed. Read and follow the warnings and usage instructions on the label.

BPI Worldwide, Inc. fuel product contains naphthalene as an active ingredient. Short term exposure, inhalation, ingestion, or dermal contact with naphthalene is associated with hemolytic anemia, damage to the liver, and neurological damage. Please store in a ventilated area at all times.

Also, the BPI Worldwide, Inc. Gold Standard Compensation Plan does not in any way warrant or guarantee that you will earn or achieve any income or level of income from your participation. BPI Worldwide, Inc. does NOT guarantee any incomes at all. Your results will depend on your ability to retail the product directly and indirectly through your sales organization. BPI Worldwide, Inc. makes no income projections or claims.

TAXES

Just as in any other business, BPI Worldwide, Inc. IBOs will be subject to sales, income, payroll, and self-employment or corporate taxes. The IBO is completely responsible for filing and paying all taxes.

IBOs are independent contractors for federal, state and provincial income tax purposes, and do not have income taxes withheld from compensation. Each IBO is responsible for reporting and paying income taxes to local, provincial, state, or federal authorities. BPI Worldwide, Inc. will provide the appropriate form to regulatory agencies when required. BPI Worldwide, Inc. will provide a copy of this reporting to the IBO annually in accordance with respective tax laws.

IBOs must individually pay self-employment taxes. Forms and instructions may be obtained from the local government office.

OPTIONAL AUTO SHIP PROGRAM

Being on autoship (which is a Back Up order of at least 30 BV) insures you never lose your accumulated business volume since your enrollment date or future commission checks. If any accumulated business volume since your enrollment date or future commission checks is ever lost because of not meeting a sales quota of at least 30 BV per month, which is by your enrollment date each month, then they can never be regained. A declined payment for an autoship will initiate a courtesy email giving you 72 hours to reactivate your autoship or you will lose all accumulated business volume since your enrollment date and all future commission checks. Deleted BV or commission checks cannot be regained.

Any item discontinued and placed on an IBO's auto ship order, if not changed to an item in the current BPI line within 30 days will be replaced with the Bio Petro Improver of equal pricing.

REFUNDS

An IBO shall be entitled to cancel participation in the Compensation Plan at any time and for any reason by submitting a signed, written notice to BPI Worldwide, Inc. To ensure that an IBO’s participation is cancelled only by that IBO and not by some unauthorized person, BPI Worldwide, Inc. will not accept or honor any cancellation request sent by any means other than a signed, hard copy request mailed to BPI Worldwide, Inc’s corporate office.

Upon notification of termination, BPI Worldwide, Inc. will repurchase, and BPI Worldwide will otherwise repurchase from IBOs at any time, any unused and currently marketable product and sales aids purchased from BPI Worldwide, Inc. not later than 30 days (or longer where required by state law) after the IBO’s receipt of the product, at 90% of the amount actually paid by the IBO, less any consideration received by the IBO for the purchase of the products being returned.

BPI Worldwide, Inc. carries a 100% money-back guarantee to non-distributor, retail customers so long as BPI Worldwide, Inc. receives a written refund request together with any unused portion of the order, within 30 days of shipment to the customer (or longer where required by state law).

An IBO or retail customer must only return product shipped directly to them. If an IBO is found to have collected product from others to return it will be cause for a warning and the second offense will be immediate termination. Retail customers will be refunded only on product shipped directly to their address.

All returned products must be accompanied by an RDA number and form. BPI Worldwide,Inc. will not be responsible for returned product without proper identification. You can receive an RDA number by calling customer service and requesting the number needed to return product. Customer Service can be reached at (801) 783-1057 Monday through Friday from 8:30 am to 4:30 pm cst.

Beginning with the enrollment date, the term of the company IBO agreement is renewed annually by the IBO buying or selling 90 BV (Business Volume) if the BV has been accumulated in compliance with the Compensation Plan. All non-renewals will become INACTIVE and will be deleted.

To All Independent Business Owners:

   It has come to the attention of the BPI Worldwide Compliance Department that there are numerous compliance violations taking place daily within our company.  All Independent Business Owners (IBOs) were required at the time of enrollment to check a box verifying that they had read and agreed to abide by the Policies and Procedures with Attachment 1, the Terms and Conditions, the Code Of Ethics, the Repurchase Agreement and all other contractual  agreements presented during the enrollment process.

Below you will find a brief overview of some of the violations involved:

a.  The only websites allowed are those supplied and monitored by the            
company and that are assigned to the IBO at the time of enrollment.  All
other websites are a direct violation of company regulations.

b.   Fuel saving claims and percentages are being made and listed in
testimonials and on websites.  The only claim an IBO can use is the
direct verbiage from the Wallace Environmental Testing Laboratory.
When quoting from this document about emissions reduction, the exact
emissions involved and the percentage of reduction each emission
achieved must be noted.

c.   Personal testimonials about mileage or emission claims are not allowed at any time, except for saying that you get a "real improvement."

d.   Claims of performance improvement are not scientifically substantiated.

e.   Claims of how and why the product works are not scientifically proven.

If an IBO is found to be in violation of any of the company regulations that they agreed to abide by, they will receive a warning to cease and discontinue the actions causing the violation within 24 hours.  All violations not corrected within that time period will be cause for termination.
